Terms and Conditions

Last updated: 15 September 2026

These Terms and Conditions (“Terms”) govern your use of the Fluenly website, web application and related services that provide AI-powered language-speaking scenarios and roleplay practice (collectively, the “Service”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not create an account or use the Service.

1. About Fluenly

Fluenly operates and provides the Service from the following address:

Fluenly
Unit 8, The Business Centre
Stadium Business Park
Ballycoolin Road
Dublin 11, D11 PC5K
Ireland

Email: [email protected]

2. Eligibility and Accounts

  1. You must be at least 16 years old to create an account or use the Service. By creating an account, you confirm that you meet this requirement.
  2. You must provide accurate account information and keep it reasonably up to date.
  3. You are responsible for keeping your login credentials confidential and for activity carried out through your account.
  4. You must notify us promptly at [email protected] if you believe your account has been accessed without authorization.
  5. You may not sell, transfer, share or allow another person to use your account.

3. Licence to Use the Service

Subject to these Terms, Fluenly grants you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Service for your own lawful, non-commercial language practice.

This licence does not transfer ownership of the Service or any Fluenly intellectual property to you.

4. Acceptable Use

You must not use the Service to:

  • Engage in unlawful, fraudulent, abusive, threatening, harassing, hateful, sexually exploitative or harmful activity;
  • Upload or process content that infringes another person’s intellectual property, privacy, confidentiality or other legal rights;
  • Record, upload or process another person’s voice, image or personal information without the necessary permission;
  • Impersonate another person or misrepresent your identity or affiliation;
  • Introduce malware or other harmful code;
  • Interfere with, disrupt or place an unreasonable burden on the Service or its infrastructure;
  • Bypass authentication, security measures, access controls, usage limits or other technical restrictions;
  • Probe, scan or test the vulnerability of the Service without our written permission;
  • Use bots, scrapers or other automated methods to access or extract information from the Service without our written permission;
  • Reverse engineer, decompile, disassemble or attempt to derive the source code or underlying components of the Service, except where applicable law expressly permits it; or
  • Use the Service or its output to develop, train or improve a competing AI, language-learning, transcription or speech product without our written permission.

We may investigate suspected misuse and take reasonable measures to protect the Service, our users and third parties.

5. User Content

“User Content” means content you submit through the Service, including recordings, transcripts, prompts, custom scenario descriptions, learning goals and uploaded images.

You retain any ownership rights you have in your User Content. You grant Fluenly and its service providers a limited, worldwide, non-exclusive licence to host, copy, transmit, process, modify and display User Content only as reasonably necessary to provide, secure and maintain the Service, comply with law and enforce these Terms.

You confirm that you own your User Content or have all rights and permissions necessary to submit and process it through the Service.

You are responsible for your User Content and must not submit confidential information or unnecessary sensitive, medical, financial or identifying information. You should not submit personal information about another person unless you have permission to do so.

6. AI-Generated Content and Voice Features

The Service uses automated systems to transcribe speech, translate content, interpret uploaded images, generate scenarios and conversation responses, and produce synthetic speech.

When you activate a voice or image feature, you authorize Fluenly and its service providers to process the recording, image, prompt and related information necessary to provide that feature. Further information is available in our Privacy Policy.

AI-generated responses, translations, transcripts, pronunciation guidance and scenarios may be inaccurate, incomplete, inappropriate or unexpected. You should independently verify important information and must not rely on the Service for professional, medical, legal, financial, safety-critical or emergency advice.

Fluenly provides language-speaking practice and is not an accredited school, certified examination provider, professional translator or interpreter. We do not guarantee that you will achieve a particular proficiency level, examination result, qualification or other learning outcome.

7. Plans, Trials, Subscriptions and Payments

Fluenly may offer free and paid plans. The features, price, billing period and usage limits applicable to a plan are displayed before you subscribe.

Paid subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. By purchasing a subscription, you authorize our payment provider to charge the displayed subscription fee and applicable taxes using your selected payment method.

You may cancel through the subscription settings in your account. Unless otherwise stated at checkout, cancellation prevents future renewals and takes effect at the end of your current paid billing period. You will ordinarily retain access to paid features until that date.

If we offer a free trial, the duration, included features, payment requirements and any applicable conversion to a paid subscription will be displayed before you begin the trial. If no payment method is requested, you will not be charged automatically at the end of the trial.

Fluenly offers a full refund when you cancel and request a refund within 30 days after your initial Pro subscription payment. This voluntary refund policy applies only to the initial Pro subscription payment and does not apply to later renewals, except where required by law.

Nothing in these Terms limits any cancellation, refund, repair, replacement, price-reduction or other consumer right available under applicable law.

We may change subscription prices by providing reasonable advance notice. A price change will apply no earlier than your next renewal after the change takes effect. If you do not accept the new price, you may cancel before the applicable renewal date.

8. Intellectual Property

The Service, including its software, design, text, graphics, scenarios, databases, trademarks, name and logo, is owned by or licensed to Fluenly and is protected by applicable intellectual-property laws.

Except for the limited licence granted under these Terms, you may not copy, modify, reproduce, publish, sell, distribute or commercially exploit any part of the Service without our prior written permission.

If you voluntarily submit feedback or suggestions about the Service, you authorize Fluenly to use them without restriction or payment to you. This does not grant us ownership of personal information or other User Content submitted through the Service.

9. Third-Party Services

The Service depends on third-party providers for functions such as authentication, cloud hosting, artificial intelligence, speech processing, payments, analytics, security and customer support.

Third-party services may be changed, suspended or replaced as the Service develops. We are not responsible for third-party websites or services that you choose to access separately, including services linked from the Service.

Our use of providers to process personal information is explained in our Privacy Policy.

10. Privacy

Our collection and use of personal information are described in our Privacy Policy. The Privacy Policy explains the information we collect, why we process it, our use of service providers, international transfers, retention, cookies and your privacy rights.

11. Service Availability and Changes

We may update, modify or replace features to maintain security, comply with law, improve performance or develop the Service. We do not guarantee that every feature will remain available permanently.

We may impose or change reasonable usage limits to protect the Service, manage costs, prevent abuse or distinguish between plans. The limits applicable to paid plans will be displayed before purchase or communicated before a material change takes effect.

We may temporarily restrict access for maintenance, updates, security incidents or circumstances outside our reasonable control.

If a change materially and negatively affects an active paid subscription, we will provide reasonable notice where practicable and any remedy required by applicable law.

12. Suspension and Termination

You may stop using the Service at any time. You may request account deletion as described in our Privacy Policy. Deleting your account does not automatically cancel or refund a subscription unless cancellation is also completed or a refund is required under these Terms or applicable law.

We may restrict, suspend or terminate your access if we reasonably believe that you have materially or repeatedly violated these Terms, failed to pay applicable fees, created a security or legal risk, or used the Service in a way that could harm Fluenly, another person or the Service.

Where reasonably possible, we will provide notice and an opportunity to correct the issue before terminating your account. We may act immediately where necessary to address fraud, unlawful activity, security risks, serious abuse or potential harm.

We may discontinue the Service by providing reasonable notice where practicable. Where required by law, affected paying users will receive an appropriate refund or other remedy.

When your account is terminated, your licence to use the Service ends immediately. Provisions that are intended by their nature to continue after termination, including provisions concerning intellectual property, liability and disputes, will remain in effect.

13. Disclaimers

Nothing in these Terms excludes or limits a consumer right, guarantee or remedy that cannot legally be excluded or limited.

Subject to those mandatory rights, the Service is provided on an “as available” basis. We do not guarantee that the Service will always be uninterrupted, error-free, secure or compatible with every device, browser, microphone or internet connection.

Recording, transcription and playback quality may depend on your device, microphone, browser permissions, surroundings and internet connection.

We are not responsible for delays or failures caused by circumstances outside our reasonable control, including internet failures, utility outages, provider interruptions, cyberattacks, natural disasters, government action or other events we could not reasonably prevent.

14. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

To the extent permitted by law, Fluenly is not responsible for losses that were not reasonably foreseeable when you agreed to these Terms, losses caused by your violation of these Terms, or losses resulting from events outside our reasonable control.

The Service is provided for personal, non-commercial use. To the extent permitted by law, Fluenly is not liable for business losses, including loss of profits, revenue, contracts, business opportunities, goodwill or anticipated savings.

Fluenly is not responsible for decisions or actions taken in reliance on AI-generated content, except to the extent that liability cannot legally be excluded.

This section does not limit any mandatory rights or remedies available to consumers under applicable law.

15. Responsibility for Misuse

To the extent permitted by law, you are responsible for losses reasonably incurred by Fluenly as a direct result of your deliberate unlawful use of the Service, infringement of another person’s rights or material violation of these Terms.

This provision does not apply to losses caused by Fluenly or impose responsibility that would be unfair or unlawful under applicable consumer law.

16. Changes to These Terms

We may update these Terms to reflect changes to the Service, our business, security requirements or applicable law.

If a change materially affects your rights or an active paid subscription, we will provide reasonable advance notice by email, through the Service or by another appropriate method. Material changes will apply prospectively from the stated effective date.

If you do not agree to a material change, you may stop using the Service and cancel your subscription before the change takes effect. Any refund or cancellation rights will be determined by applicable law and our refund policy.

17. Governing Law and Disputes

These Terms are governed by the laws of Ireland. If you are a consumer living outside Ireland, you also retain the protection of any mandatory consumer laws applicable in your country of residence.

The Irish courts will have jurisdiction over disputes relating to these Terms, but this does not prevent a consumer from bringing proceedings in another court available under applicable consumer law.

Before beginning formal proceedings, you and Fluenly agree to make a reasonable effort to resolve the dispute by contacting the other party and describing the issue and requested resolution.

18. General

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue in effect.

If we do not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.

You may not transfer your account or rights under these Terms without our permission. We may transfer our rights and obligations in connection with a merger, acquisition, restructuring, financing or sale of the business, provided that doing so does not reduce your mandatory consumer rights.

These Terms, together with the Privacy Policy and any plan or payment information presented at checkout, constitute the agreement between you and Fluenly concerning the Service.
